Terms of Service
These Terms govern your purchase and use of SpellKey ("the App"), a macOS dictation application provided by WEIBIN LIN, an individual based in Australia ("we", "us"). By purchasing or using the App you agree to these Terms. If you do not agree, do not use the App.
1License
Upon purchase, we grant you a personal, non-exclusive, non-transferable license to install and use the App on Mac computers that you own or control, for your own personal or internal business use. This is a one-time purchase; it is a license to use the software, not a sale of the software itself.
2What's included and updates
Your purchase includes the version of the App you buy and any updates we choose to make available for that version. We may offer future major versions as separate purchases. We are not obligated to provide updates, support, or continued availability of any third-party model or service.
3Restrictions
You agree not to: (a) resell, redistribute, rent, or sublicense the App or your license; (b) reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by applicable law; (c) remove proprietary notices; or (d) use the App for any unlawful purpose.
4Third-party AI providers (BYOK) and your responsibilities
The App's optional AI features may let you connect your own third-party AI provider ("BYOK"). You are solely responsible for: (a) obtaining and paying for your own API access; (b) complying with that provider's terms; and (c) any content you send to that provider. We do not control, and are not responsible for, third-party AI providers or their output. AI output may be inaccurate; you are responsible for reviewing it before relying on it.
5Third-party and open-source components
The App incorporates third-party and open-source components (including speech-recognition models and inference libraries) under their respective licenses. Those components remain governed by their own license terms.
6System permissions
The App requires certain macOS permissions (Microphone, Accessibility, Input Monitoring) to function, as described in our Privacy Policy. You are responsible for granting them if you wish to use the corresponding features.
7Payment and Merchant of Record
Purchases are processed by Paddle.com, which acts as the Merchant of Record. Paddle's Buyer Terms also apply to your transaction. Pricing, taxes, and billing are handled by Paddle. Refunds are governed by our Refund Policy.
8Disclaimer of warranties
Except as required by law, the App is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of transcription or AI output, and non-infringement. You use the App at your own risk.
9Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid for it.
10Your consumer rights
As a consumer, you may have guarantees, rights, or remedies that cannot be excluded under the consumer law of your country of residence. Nothing in these Terms excludes, restricts, or modifies any such non-excludable right where it applies. The disclaimers and limitations above apply only to the extent permitted by applicable law.
11Termination
This license terminates automatically if you breach these Terms. You may stop using the App at any time.
12Governing law
These Terms are governed by the laws of Victoria, Australia, without regard to conflict-of-laws rules, and subject to any non-excludable rights you have under the law of your own country of residence.
